Designated Unit: Management Department.
Responsibilities: Responsible for handling operations related to violations of ethical business conduct and disciplinary complaints, as well as establishing related management regulations.
Operations: The Head of Corporate Governance reported the implementation status to the Board of Directors on November 13, 2024.
(1) Training and Education: Planned internal and external training courses related to regulations, auditing, risk management, and corporate governance to ensure that company operations and systems comply with legal requirements. A total of 9 training courses were conducted in 2024.
(2) Regulatory Promotion: The designated unit compiled key internal regulations, including the Ethical Business Conduct Guidelines and handling of material internal information, and promoted them to internal personnel through relevant materials.
(3) Employee Communication: Employees can provide feedback to management and HR through quarterly labor-management meetings and multiple open communication channels. The company also actively communicates its ethical business policy and practices through the corporate website, annual reports, and investor conferences.
(4) Whistleblowing Mechanism: The "Corporate Governance Best Practice Principles," "Ethical Corporate Management Best Practice Principles," and "Ethical Corporate Management Operating Procedures and Guidelines" all include concrete whistleblowing mechanisms to proactively prevent unethical conduct. Both internal and external parties are encouraged to report unethical or improper behavior.
The Management Department is the designated unit responsible for handling such reports. If a report involves a director or senior executive, it will be submitted to the independent directors. A whistleblower protection mechanism is in place to ensure the confidentiality of the whistleblower’s identity and report content, and the company is committed to protecting whistleblowers from retaliation.
